Furniss, Shearer & Leineweber

Terms of Use

Last updated October 13, 2026

1. Who we are

FSL Suite (the "Service") is operated by Furniss, Shearer & Leineweber ("FSL", "we", "us"), an Oregon law firm, at suite.fsllaw.com. These Terms of Use ("Terms") govern your access to and use of the Service.

By creating an account, completing an intake form, or otherwise using the Service, you agree to these Terms and to our Privacy Policy at www.fsllaw.com/privacy-policy. If you do not agree, do not use the Service.

2. Who may use the Service

The Service is used by law firms and their staff ("Firm Users") and by the clients those firms invite to complete estate planning intake ("Clients"). You must be at least 18 years old. Firm Users are responsible for everyone who accesses the Service under their firm's workspace.

3. No legal advice from the Service

The Service provides document preparation and workflow tools. It does not provide legal advice and does not create an attorney-client relationship between you and FSL unless you have separately engaged FSL. Any legal advice you receive comes from the law firm you have engaged, not from the Service. Documents generated by the Service must be reviewed by a licensed attorney before use.

4. Accounts and security

You are responsible for keeping your login credentials and any verification codes confidential and for all activity under your account. Notify your firm or FSL promptly at fsl@fsllaw.com if you suspect unauthorized access. We may suspend or close accounts that violate these Terms or present a security risk.

5. Text (SMS) messaging

If you provide a mobile number and consent during onboarding, the Service may send you text messages from the firm that invited you, including one-time verification codes, links to complete your intake form, and account, appointment, or matter-related messages. Message frequency varies. Message and data rates may apply.

Reply STOP at any time to opt out and HELP for help. Opting out of text messages may mean you need to use email or the web portal to complete steps that would otherwise be sent by text. We do not sell or share your mobile number or SMS consent with third parties for their marketing.

6. Your content

You retain ownership of the information and documents you submit ("Your Content"). You grant FSL a limited license to store, process, and transmit Your Content solely to provide the Service to you and your firm. You represent that you have the right to submit Your Content and that it is accurate to the best of your knowledge.

7. Acceptable use

You agree not to: use the Service for any unlawful purpose; access another user's data without authorization; interfere with or probe the security of the Service; upload malicious code; or resell, copy, or reverse engineer the Service except as permitted by law.

8. Fees

Firm Users pay for document generation and other features as described in the Service at the time of purchase. Fees are non-refundable except where required by law or expressly stated otherwise. Clients are not charged by the Service directly; any fees Clients owe are governed by their agreement with their own law firm.

9. Intellectual property

The Service, including its software, templates, and design, is owned by FSL or its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, for non-payment, or if required by law. Sections that by their nature should survive termination (including 3, 6, 9, 11, 12, and 13) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FSL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED DOCUMENTS ARE SUITABLE FOR ANY PARTICULAR PURPOSE WITHOUT ATTORNEY REVIEW.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FSL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. FSL'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO FSL FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. Nothing in these Terms limits liability that cannot be limited under applicable law or alters any duties FSL owes to its own clients under its separate engagement agreements.

13. Governing law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law rules. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Multnomah County, Oregon, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows the current version. Material changes will be posted in the Service. Continued use after changes take effect constitutes acceptance.
